Our Board of <br />Directors has evaluated this proposal and unanimously voted to accept the offer and <br />submit it to Nor Am stockholders for approval. This was announced on Monday, <br />August 12. <br />Although I don't anticipate this consolidation of companies will affect, in any way, the <br />service we are privileged to provide your community, I Wcmted you to have the details <br />of this proposed merger. I have taken the liberty to enclose with this letter a copy of the <br />press release aimouncing this event. I have also included fact sheets and other data for <br />your information. <br />The local gas distribution companies, which are NorAm subsidiaries, will retain their <br />separate identities and orgcinizations. This combination offers excellent potential for <br />enhancing customer service and for providing a wide range of new vcilue-added <br />serv'ice. <br />The information I have included provides significant details on all aspects of this <br />proposed consolidation.
