"At the same time, we intend to continue the efforts already <br />underway to increase the opportunity to move gas from west to east across the Mid- <br />Continent region where NorAm Gas Transmission and Mississippi River Transmission <br />are strategically located." <br />"Houston Industries plans to expand many of the retail services offered by NorAm <br />Energy throughout its gas and electric distribution operations. NorAm has been a <br />leader in developing new value-added services for residential and small business <br />customers such as appliance repair and preventive maintenance contracts and home <br />security system sales and monitoring, as well as services for other utilities and retail <br />marketers." <br />In addition to serving more than 2.7 million households in six states through its Entex, <br />Arkla, and Minnegasco gas distribution divisions, NorAm Energy is a major natural <br />gas pipeline and energy marketer, providing supply, gathering, storage, and <br />transportation of natural gas and wholesale electric services through its NorAm <br />Trading and Transportation Grotp (NTTG). NTTG includes NorAm Energy Services <br />group (NES), a leading natural gas and electric wholesale trader. In the first sbc <br />months of 1996, NES traded over 2.5 Bcf per day of natural gas and almost 450 <br />thousand MVVh of electricity. NTTG's interstate pipeline system consists of NorAm <br />Gas Transmission and Mississippi River Transmission. In addition, NTTG operates <br />gathering assets in Oklahoma, Louisiana, Arkansas, and Texas through NorAm Field <br />Serv’ices. NorAm Energy Management provides unregulated retail energy services to <br />industrial and large commercial customers. Through NorAm Energy's wide-ranging <br />gas activities, it handles over 5 Bcf per day of natural gas. In addition to its corporate <br />office in Houston, NorAm Energy has offices in Shrev'eport, Louisiana; Little Rock, <br />Arkansas; Boulder, Colorado; Tulsa, Oklahoma; Minneapolis, Minnesota; St. Louis, <br />Missouri; Williamsburg, Virginia; Midland, Michigan; and Miami, Florida. <br />Subject to the approv'al process, the transaction is expected to be completed by the end <br />of the first quarter of 1997.
