subsequent purchasers and encumbrancers of all or any pan of the subdivision and all <br />recording fees, if any, shall be paid by the Developer. Promptly after completion of the <br />Improvements in accordance with the provisions of this agreement, the City shall <br />execute and deliver to the Developer a Certificate of Completion and Release (the <br />"Certificate") in recordable form for recording with the Hennepin County Registrar of <br />Titles. The Certificate shall be a conclusive determination and conclusive evidence of <br />the satisfaction of the agreements and covenants in this agreement, and shall release the <br />Developer and the Property from the terms hereof. If the City shall refuse or fail to <br />provide the Certificate in accordance with the provisions of this Section 8, the City shall, <br />within twenty (20) days after written request by the Developer, provide the Developer <br />with a written statement, indicating in adequate detail in what respects the Developer <br />has failed to complete the Improvements in accordance with the provisions of this <br />agreement, or is otherwise in default, and what measures or acts wiU be necessary, in the <br />opiruon of the City, for the Developer to take or perform in order to obtain the <br />Certificate. <br />9 <br />• •• <br />9. Notices: Whenever in this agreement it shall be required or permitted that <br />notice or demand be given or served by either party to this agreement to or on the other <br />party, such notice or demand shall be delivered personally or mailed by Uruted States <br />certified mail (return receipt requested) to the addresses set forth below.
