D. Indemnification. To the fullest extent permitted by law, the Contractor agrees to defend, <br />indemnify and hold harmless the City, and its employees, officials, and agents from and <br />against all claims, actions, damages, losses and expenses, including reasonable attorney <br />fees, arising out of the Contractor’s negligence or the Contractor’s performance or failure to <br />perform its obligations under this Agreement. The Contractor’s indemnification obligation <br />shall apply to the Contractor’s subcontractor(s), or anyone directly or indirectly employed or <br />hired by the Contractor, or anyone for whose acts the Contractor may be liable. <br />4. Quote Procedures. <br />A.Deadline. Quotes must be received by the City no later than 1:00p.m. On May 19, <br />2023. Quotes may be sent by Email. Email with “2023 Orono Street Crack Sealing Quote”. <br />Quotes arriving after the specified time shall not be accepted. <br />B.Format for Submittal. A properly prepared quote shall consist of a fully completed <br />Proposal Form (Appendix A). Failure to submit all of the required information may result in <br />the disqualification from consideration. <br />5. Contact Person.
