of Outlet C and the entrance si«jns and the payment of taxes and <br />assessments therec;.; <br />b) exercise for t>ie Association all pow<‘rs, duties aiirl authorities <br />vested in or delegated to the Association and not reserved to the <br />membership by other provisions of these By-laws, the Articles of <br />Incorporation or the Declaration of Covenants, Conditions and <br />Restrictions of The Nursery on file in the *’ffice of the County <br />Recorder or Hennepin County, Mirinesota; <br />c) institute such action at law or equity as may necessary to <br />enforce the rules and regulations adopted by the Association and <br />to recover any amount which : , ue due it fiom any Member, whether <br />suspended or otherwise. <br />ARTICLE VI <br />OFFICERS AND THEIR DUTIES <br />The officers of this Association shall be a President, a Vice-President, <br />a Secretary and a Treasurer. The same person may hold any two offices <br />except those of President and Vice-President. All officers shall be <br />members of the Board of Directors and they shall be elected by the Board <br />of Directors. The duties of the officers shall be as follows: <br />a) The President shall be tl chief executive officer officer of the <br />Corporation. He shall preside at all meetings of the Board and <br />shall see that all orders and resolutions of the Board are properly <br />executed. <br />b) The Vice-President shall, in the absence of the President, perform <br />the duties and exercise the powers of the President. <br />c) The Secretary shall keep minutes of all meetings, shall have <br />custody of all the records of the Corporation and shall perform such <br />other duties as the Board of Directors shall prescribe. <br />- 4 -
