Past-Presidenu provided the League Board of Directors retains ultimaie responsibility <br />for management of League affairs. <br />Section 9S Duties of President . The President shall be Ghaif-chair of the Bboard of <br />Directors. The President shall preside at the annual business meeting and all other <br />meetings of the League, but may designate others to preside instead. Except as otherwise <br />provided bv this Constitution. tThe Ppresident shall appoint all committees established by <br />the Bboard of Ddirectors or by the Ceonstitution and shall appoint representatives of the <br />League to such non-League bodies as may be appropriate. <br />Section 6 i In the absence of the President, the First Vice President shall act as <br />president President . In the absence of both the President and First Vice President, the <br />Second Vice President shall act as President. In the absence of all Officers, the Board of <br />Directors shall choose a chair from among it members. <br />Section 10.7 Executive Director . The Executive Director shall be the chief <br />administrative officer of the League, subject to the general supervision of the Bboard of <br />Ddirectors. The Eexecutive Ddirector shall be appointed by the Bboard of directors for <br />an indefinite period and may be removed at will bv the Bboard of Ddirectors. The <br />E.\ccutive Director shall appoint the League employees^ except that the appointment, <br />discipline^ and removal of the General Counsel is subject to approval by the Board of <br />Directors. The Executive Director shall establish terms and conditions of employment for <br />League employees.-odmin ister the Leag ue office and the League services. The executive <br />director shall prepare an annual budget of revenu es and expend itures for the <br />consideration of the board of directors and shall limit expend itures to the total budget <br />approved by the board of directors. The Executive Director shall submit to the Board of <br />Directors and to the membership an annual report of League affairs, services, and <br />finances which shall be published in the Leagued magazine or such other <br />communications tool that the Board of Directors mav deem appropriate, official <br />publication. The Executive Director shall be responsible for all have ohareoof-4hc League <br />records, accounts, and property. The Executive Director shall cause an official record of <br />all meetings of the League to be made. The executive director shall act os treasurcr-and <br />handle all League fun d-?? The Executive Ddirector and employees designated by the <br />Executive Director shall post an employee dishonesty corporate surety bond at League <br />expense. The accounts and financ es of the League shall be post-audited each y ear by a <br />public-accountant selected by the board of directors. <br />Section 8. The boord of directors may, on application, recogniz e as offiliates of the <br />Leag ue organization s whose membership consists predominantly of Minn esota mun icipal <br />officials or employees. The g en eral purpose of such affiliations shall be to encourage the <br />maximum cooperation among the various mun icipal functions, among admini strative <br />department s and councils, and umong the munic ipalities of the state through the League; <br />The board of directors mav require for affiliate recocn ition such conditions a& to <br />activities, membershiprand financ es as it deema appropriaterin no event, however,-shall <br />recogniz ed affiliates advocate legisl ative proposakr in conflict with Leag ue leg islative <br />policies without-adherin g to the procedure set forth in -r\rticle VI, Section 7.
