(a) At or before the Closing, Seller shall pay the real estate taxes, <br />installments of levied special assessments, due and payable, and any <br />penalties and interest thereon due and payable with respect to the <br />Property in all years prior to the year in which Closing occurs and up <br />to the Closing Date in the year of Closing; <br />(b) At or before the Closing, Seller shall pay or provide for the payment <br />of all deferred real estate taxes, including all those which become due <br />and payable as a result of the sale of the Property to Buyer, except <br />transfer taxes and installments of special assessments; <br />(c) Buyer shall pay all real estate taxes due and payable in the years <br />following the year in which the Closing occurs and special <br />assessments which are levied or become pending after the Effective <br />Date of this Purchase Agreement; <br />(d) Real estate taxes and installments of special assessments due and <br />payable in the year of closing shall be pro-rated to the Closing Date, <br />on a calendar year basis. <br />11. Seller’s Representations and Warranties. Seller makes the <br />following representations and warranties to Buyer: <br />Any wells, as that term is defined in Minnesota Statutes, Section <br />1031.005, subd. 21, located on the Property are described on a <br />Minnesota Well Disclosure Statement separately delivered to Buyer <br />contemporaneously herewith; <br />(b) To the best of Seller’s knowledge, there are not now, nor have there <br />ever been underground or above ground storage tanks of any size or <br />type located on the Property; <br />(c) Seller has not engaged a real estate broker or other agent to act as <br />Seller's real estate agent in connection with this transaction except as <br />identified in this Agreement, if any; <br />(d) To the best of Seller’s Knowledge, there are no substances or <br />conditions in or on the Property that may support a claim or cause of <br />action under the Comprehensive Environmental Response <br />HC26DSZ 4715/2672211 vl(RHD) 2-4/2002 <br />M
