I*'’ S' <br />► ir « <br />Mk.’ : <br />*^>v <br />f <br />EASEMENT AGREEMENT <br />This Easement Agreement is made effective as of ,, 2005, by and <br />between the Sugarwoods Office Center, LLC, a Minnesota limited liability company (Grantor), and <br />the City of Orono, a Minnesota municipal corporation (Grantee). <br />RECITALS <br />A. Grantor is the fee owner of real property located in the City of Orono, County of <br />Hennepin, State of Minnesota, legally described in Exhibit A attached hereto (the "Grantor’s <br />Property"). <br />B. Grantee desires to obtain a non-exclusive easement for ingress and egress purposes <br />for a future frontage road (the "Road Easement”) over the part of the Grantor’s Property legally <br />described in Exhibit B attached hereto (the "Road Easement Area"). <br />AGREEMENT <br />NOW, THEREFORE, in consideration of the payment by Grantee to Grantor of $1.00, and <br />for other valuable consideration including the agreements herein contained, the parties agree as <br />follows: <br />1. Grant of Easement. Grantor hereby grants to Grantee, its successors and assigns, a <br />non-exclusive easement for ingress and egress purposes over the Road Easement Area. <br />2. Use of Road Easement. The Grantee may use the Road Easement for future frontage <br />road purposes in connection with access to and from Grantor’s Property. <br />3. Construction of Road and Utility Easement. Grantee, at its sole cost and expense, <br />shall construct the road according to the plans aixl specifications submitted to Grantor, receipt and <br />qiproval of which is hereby acknowledged.
