NOW THEREFORE, Declarant declares that the Real Estate is and shall be divided, held, <br />transferred, conveyed, sold, leased, occupied and developed subject to the Act and to the covenants, <br />conditions, restrictions, easements, charges and liens set forth in this Declaration, which shall run <br />with the Real Estate and be binding upon all parties having any right, title or interest in the Real <br />Estate, their heirs, successors and assigns, and which shall inure to the benefit of each Unit owne <br />and the heirs, successors and assigns of each Unit owner. <br />r•s <br />Note to Readers <br />Many provisions of the Act which govern this common interest Community ("CIC"), and of <br />the Minnesota Nonprofit Corporation Act, Minnesota Statutes, Chapter 3I7A under which the <br />Association is formed, are not repeated in this Declaration. This Declaration should be read in <br />conjunction with both statutes. <br />1.00 DEFINITIONS <br />1.01 Words defined in the Act shall have the meaning ascribed to them in the Act. The <br />following are supplemental definitions. <br />A. "Appropriate Use Committee" or "Aiv J" shall mean and refer to that permanent <br />committee of the Association created for the purpose of establishing and enforcing <br />standards limiting the uses of the Real Estate to those that are compatible with the <br />history and character of the Real Estate and its surrounding neighborhood. <br />B. "Association” shall mean Amber Woods Office Centre Association, a Minnesota <br />nonprofit corporation. <br />C. “Atrium” shall refer to tiie Limited Common Element wedge-plan structure, one of <br />which is located between two Office Structures. <br />D. "Board of Directors" or "Board" shall mean the board of directors of the Association. <br />E. “City” shall mean the City of Orono, Minnesota. <br />F. “Common Area” shall mean Lot 11, Block I, Amber Woods Office Centre, Hennepin <br />County, Minnesota. <br />O. “Common Elements” are defined in Section 8.01 below <br />H. "Common Expenses" shall mean expenditures made or liabilities incurred by or on <br />behalf of the Association, including those made or incurred with respect to easement <br />rights over adjoining property which benefit the owners, together with any allocations <br />to reserves.
