The administrative fee is payable to MCIT and will <br />be invoiced on an annual basis. The administrative fee must be paid within 30 days <br />of the invoice from MCIT. <br />V. HOLD HARMLESS AND INDEMNIFICATION <br />Participant agrees that MCIT and its officers and employees shall not be liable for, <br />and Participant agrees to pay the cost of defense, indemnify and hold ham^ess <br />MCIT, its officers and employees from and against all liabilities, claims actions, <br />expend (including attorneys fees and costs related to the investigation of any such <br />claims, action or proceeding), obligations, losses, fines, penalties and assessments <br />resulting from or arising out of the performance of Participant’s obligations under <br />this Agreement. <br />MCIT agrees to indemnify, defend and hold Participant and its directors, officers, <br />agents and employees harmless from any loss, cost and expense (including court <br />costs and attorneys’ fees) to Participant, arising out of or resulting from MCIT’s <br />performance of its obligations under this Agreement. MCIT shall not defend, hold <br />harmless and/or indemnify Participant against any demands, claims, suits, actions, <br />and/or damages arising or alle^ to arise, out of the acts, conduct and/or <br />omissions, in whole or in part, of Participant or any testing laboratory or collection <br />facility designated by Participant to conduct drag tests on behalf of Participant not <br />previously approved by FirstLab as required by MCIT. <br />Ti
