pollutants, contaminants or hazardous substances present on the Orono Property, or for <br />the removal, treatment or disposal of any pollutants, contaminants or hazardous <br />substances present on the Orono Property, it being the sole responsibility of Orono or the <br />owners of the Orono Property to perform these tasks if required; and <br />(g) Medina or its agents, employees, contractors or invitees who enter the Orono <br />Property pursuant to this Agreement shall carry insurance during the time any work is <br />done on the Orono Property in accordance with the limits provided by statute and/or in <br />accordaiKe with standard LMCIT coverages. <br />III. TOWNLINE ROAD <br />3.1. Access to the Development and to the four Orono properties to be served by <br />Spruce Way will be by means of Townline Road. Townline Road is in poor condition and will <br />likely need improvement or reconstruction in the future. It is not possible to establish at this time <br />the most equitable method to apportion the cost of future improvements to Townline Road <br />among the benefited properties, including properties located in Medina, Orono and <br />Indeperulence. Factors v^ch make such a determirution impossible now include the nature and <br />extent of the improvements, their timing, whether the connection between Townline Road and <br />U.S. Highway 12 has been at least partially restored and the number of then-existing properties <br />in Orono and Independence gaining access via Townline Road. Medina and Orono agree to co <br />operate with one another in establishing the nature and timing of any improvements to Townline <br />Road and to wwk together to establish an equitable method to fund such improvements at that <br />time. As a show of good fiuth, Medina agrees to collect and escrow funds on the lots within the <br />Development are sold. In return, Orono agrees to take no action now or in the future to restrict <br />access to the Development from the portion of Townline Road in Orono. <br />IV. MISCELLANEOUS <br />4.1 Governing Law . This Agreement shall be interpreted in accordance vtnth the laws <br />of Miruiesota. <br />4.2 Noticea and Demands .
