SITE NAME:MINC Navarre <br />SITE NUMBER: <br />AMENDMENT NO. 2 TO SITE LEASE AGREEMENT <br />This AMENDMENT NO. 2 TO SITE LEASE AGREEMENT ("Amendment") is made <br />this <br />it <br />day of 2009, by and between the City of Orono ("Landlord") <br />and Verizon Wireless (VAW) LL'C d/b/a Verizon Wireless ("Tenant"), with its principal offices <br />located at One Verizon Way, Mail Stop 4AW 100, Basking Ridge, New Jersey, 07920 (telephone <br />number 866-862-4404), with reference to the facts set forth in the Recitals below: <br />RECITALS <br />A. Landlord and Tenant are parties to a Site Lease Agreement, dated July 9, 2001, as amended <br />by Amendment No. 1 to Site Lease Agreement, dated April 18, 2005 (collectively, the <br />Agreement"), whereby Landlord has leased a portion of Landlord's Property (as defined in the <br />Agreement) to Tenant for the purposes of installing, removing, maintaining, and operating a <br />communications facility. The initial term of the Agreement expired on December 31, 2006. If <br />fully extended, the term of Agreement is currently scheduled to expire on December 31, 2021. <br />B. Landlord and Tenant desire to amend the Agreement to (i) provide additional ground space <br />for Tenant to place an emergency power generator, (ii)provide for an increase in the annual rent <br />payable to Landlord under the Agreement for the additional ground space, and (iii) revise the <br />assignment language. <br />AGREEMENT <br />NOW, THEREFORE, in consideration of the facts contained in the Recitals above, the <br />mutual covenants and conditions below, and other good and valuable consideration, the receipt <br />and sufficiency of which are hereby acknowledged, the parties agree as follows: <br />1. ADDITIONAL GROUND SPACE. The Agreement is hereby amended to <br />provide for additional ground space ("Proposed Tenant Lease Area") for an emergency power <br />generator as shown on the attached Exhibit B-2 together with the right and sufficient space for <br />the installation and maintenance of wires, cables, conduits and pipes running between the <br />existing Lease Area and the Proposed Tenant Lease Area and the right to install, maintain, <br />replace and repair a gas service line under and along a right of way extending from a public <br />right-of-way to the Proposed Tenant Lease Area. <br />2. INCREASED RENT. Pursuant to the Agreement, the annual rent is paid annuallybeforeJanuarylst <br />of each year.
