SITE NAME: MINC Navarre <br />SITE NUMBER: <br />MOSS&BARNETT/3/4/08 <br />AMENDMENT NO. 2 TO SITE LEASE AGREEMENT <br />This AMENDMENT NO.2 TO SITE LEASE AGREEMENT("Amendment")is made this <br />day of 2008,by and between City of Orono("Landlord")and Verizon <br />Wireless (VAW) LLC d/b/a Verizon Wireless ("Tenant"),with its principal offices located at One <br />Verizon Way, Mail Stop 4AW 100,Basking Ridge,New Jersey, 07920,with reference to the facts <br />set forth in the Recitals below: <br />RECITALS <br />A. Landlord and Tenant are parties to a Site Lease Agreement dated July 9,2001, and Amendment <br />No. 1 to Site Lease Agreement dated April 18,2005 (the"Agreement"),whereby Landlord has leased <br />a portion of Landlord's Property (as defined in the Agreement) to Tenant for the purposes of <br />installing, removing,maintaining, and operating a communications facility. The initial term of the <br />Agreement expired on December 31, 2006. If fully extended, the term of Agreement is currently <br />scheduled to expire on December 31, 2021. <br />B. Landlord and Tenant desire to amend the Agreement to (i)provide additional ground space for <br />Tenant to place an emergency power generator, (ii) provide for an increase in the annual rent <br />payable to Landlord under the Agreement for the additional ground space,(iii)revise the assignment <br />language. <br />AGREEMENT <br />NOW, THEREFORE, in consideration of the facts contained in the Recitals above, the <br />mutual covenants and conditions below, and other good and valuable consideration,the receipt and <br />sufficiency of which are hereby acknowledged, the parties agree as follows: <br />1.ADDITIONAL GROUND SPACE. The Agreement is hereby amended to provide for <br />additional ground space for an emergency power generator as shown on the attached Exhibit B-2. <br />2.INCREASED RENT. Pursuant to the Agreement, the annual rent is paid annually <br />before January 1st <br />of each year. As consideration for the additional generator ground space, <br />commencing on the first day of the month following the start of construction ("Increased Rent <br />Commencement Date"), the annual rent shall be increased by Two Thousand Four Hundred and <br />No/100 Dollars ($2,400.00) per year. Landlord and Tenant shall acknowledge in writing the <br />Increased Rent Commencement Date, and Tenant shall pay the prorated increase in annual rent for <br />2 <br />MINC Navarre <br />Amendment No. 2 to Site Lease Agreement <br />140942v2
