• <br /> ARTICLE VIII. <br /> ADDITIONAL PROVISIONS <br /> Section 8.1 Conflicts of Interest: Representatives Not Individually Liable. No <br /> HRA or City officer who is authorized to take part in any manner in making this <br /> Agreement in his or her official capacity shall voluntarily have a personal financial <br /> interest in this Agreement or benefit financially therefrom. No member, official, or <br /> employee of the HRA or the City shall be personally liable to the Developer, or any <br /> successor in interest, in the event of any default or breach by the HRA or the City or <br /> for any amount which may become due to the Developer or successor or on any <br /> obligations under the terms of this Agreement. <br /> Section 8.2 Notice of Status and Conformance. At such time as all of the <br /> provisions of this Agreement have been fully performed by the Developer, the HRA <br /> and the City upon not less than ten days prior written notice by Developer agree to <br /> execute, acknowledge and deliver without charge to Developer or to any person <br /> designated by Developer a statement in writing in recordable form certifying the <br /> extent to which this Agreement has been fully performed and the obligations <br /> hereunder fully satisfied. <br /> Section 8.3 Notices and Demands. Except as otherwise expressly provided in <br /> this Agreement, a notice, demand or other communication under this Agreement by <br /> either party to the other shall be sufficiently given or delivered if it is sent by mail, <br /> postage prepaid, return receipt requested or delivered personally: <br /> (a) As to the City: <br /> City of Orono <br /> City Administrator <br /> Orono, Minnesota <br /> (b) As to the HRA: <br /> Executive Director <br /> Orono HRA <br /> Orono, Minnesota <br /> (c) As to the Developer: <br /> (d) As to Dunbar: <br />
