This Agreement may not be assigned by a Party without <br />the written consent of the others. <br />e. Modifications/Amendment. Any alterations, variations, modifications, <br />amendments, or waivers of the provisions of this Agreement shall only <br />be valid when they have been reduced to writing and signed by <br />authorized representatives of all of the Parties hereto. The Board or any <br />Party may propose amendments to this Agreement. Such amendments <br />shall be in the form of a resolution adopted by the Board or a resolution <br />adopted by the governing body of a Party, as applicable, depending on <br />which entity is proposing the amendment. The Party s eeking to amend <br />shall present the proposed amendment to the other Parties and the <br />Board, as applicable. The Board shall issue a report on all proposed <br />amendments, including those initiated by the Board, explaining the <br />amendment and process for amendment co nsideration and adoption. <br />The Board shall include in its report a proposed resolution reflecting its <br />recommendation regarding the proposed amendment. Parties shall act <br />to approve, modify, or deny a proposed amendment within ninety (90) <br />days after the Board issues its report concerning the proposed <br />amendment. <br /> <br />f. Records—Availability and Retention. Pursuant to Minn. Stat. § <br />16C.05, subd. 5, the Parties agree that any Party, the State Auditor, or <br />any of their duly authorized representatives at any time during no rmal <br />business hours and as often as they may reasonably deem necessary, <br />shall have access to and the right to examine, audit, excerpt, and <br />transcribe any books, documents, papers, records, etc., which are <br />pertinent to the accounting practices and procedures of the NAFRS and <br />involve transactions relating to this Agreement. <br /> <br />g. Governing Law. This Agreement shall be deemed to have been made <br />and accepted in Rice County, Minnesota, and the laws of the State of <br />Minnesota shall govern any interpretations or construc tions of the <br />Agreement without regard to its choice of law or conflict of laws <br />principles.
