<br /> <br /> April _____, 2021 <br /> <br />Long Lake City Administrator Scott Weske <br />City of Long Lake <br />450 Virginia Avenue <br />PO Box 606 <br />Long Lake, MN 55356 <br /> <br />RE: NOTICE OF TERMINATION OF CONTRACT FOR JOINT OWNERSHIP <br /> <br /> <br />Dear City Administrator Weske: <br /> <br />The City of Orono serves this Notice of Termination to terminate the Contract for Joint <br />Ownership that commenced in August 2001 [hereinafter: First Contract] pursuant to Section 7. <br />For your convenience, a copy of the First Contract is attached. Section 7 of the First Contract <br />provides the following: <br /> <br /> Section 7: <br /> <br /> 7. Term. This Agreement shall be effective upon the date of execution, and shall <br />extend through December 31, 2020. It shall automatically extend for successive five (5) year <br />extensions unless one of the cities covered by this agreement serves notice of termination not <br />less than three (3) years before the original termination or the termination date of any subsequent <br />extension. The Agreement may not otherwise be terminated except for any of the following <br />reasons: <br /> <br />a. The express agreement of both cities to terminate the Agreement; or <br />b. The expiration of the term of the Agreement provided that the three-year notice of <br />termination preceding the expiration of the term is given; or <br />c. An event that makes it unlawful for all or substantially all of the purpose of the <br />Agreement, i.e. joint ownership of the land and building to be continued; or <br />d. For good cause as defined above; or <br />e. For material breach of this Agreement provided that the city seeking the termination first <br />provides the other city written notice and thirty (30) days to cure. <br /> <br />Pursuant to Section 11 of the First Contract, all notices must be “delivered or mailed” to Long <br />Lake: City Administrator with a copy to City Attorney. <br />
