3.2 The City shall be responsible for the transporting of the Election anc! AVT <br /> Equipment from and to the County. Upon termination of this Agreement, the City <br /> shall forthwith deliver the Election and AVT Equipment to the County or its <br /> designee, complete and in good order and working condition. The City shali be <br /> responsible for all costs, including but not limited to shipping, related to the repair <br /> or replacement of lost, stolen, destroyed or damaged Election and AVT <br /> Equipment. <br /> Section 4 <br /> TERM, TERMINATION <br /> 4.1 The City and the County agree that this Agreement is in effect during the period <br /> commencing upon signature by the County. The City and County agree that this <br /> Agreement will terminate when the City and County mutually agree that the <br /> equipment will no longer be used for the City's elections, unless terminated <br /> sooner by either party with cause upon seven (7) calendar days' written notice to <br /> the other. <br /> Section 5 <br /> MAINTENANCE <br /> 5.1 Maintenance Agreement (M100). The County has entered into a Maintenance <br /> Agreement with Election Systems & Software for the maintenance of the Election <br /> Equipment ("Election Equipment Maintenance Agreement"). The City will obtain <br /> the services furnished by the Election Equipment Maintenance Agreement <br /> (Addendum A), which clearly outlines the said coverage of the equipment, <br /> directly from Election Systems & Software, Inc. The annual maintenance fee paid <br /> by the City to the County for said Election Equipment Maintenance Agreement <br /> shall be One Hundred and Twenty-ei�ht dollars ($128) per unit, and any increase <br /> in the fee shall not exceed three percent (3%) of the prior two (2) year Election <br /> Equipment Maintenance Agreement with the County. <br /> 5.2 Maintenance Agreement (AVT Equipment). The County will enter into a <br /> Maintenance Agreement with Election Systems & Software for the maintenance <br /> of the AVT Equipment ("AVT Maintenance Agreement") at the end of the <br /> warranty period, determined to be December 31, 2006. The City will obtain the <br /> services furnished by the AVT Maintenance Agreement, which will clearly outline <br /> the said coverage of the equipment, directly from Election Systems & Software, <br /> Inc., the terms of which will be comparable to Addendum A. The annual <br /> maintenance fee paid by the City to the County for said AVT Maintenance <br /> Agreement shall be an amount not to exceed Three Hundred and Ten dollars <br /> ($310) per unit, and any increase in the fee shall not exceed three percent (3%) <br /> of the prior two (2) year Maintenance Agreement with the County.
