[space above reserved for recording information] <br />UTILITY AND DRIVEWAY ACCESS AND MAINTENANCE AGREEMENT <br />This Utility and Driveway Access and Maintenance Agreement (this "Agreement") is <br />made this day of '2018, ("Effective Date") by and among Green Mavericks, <br />LLC, a Minnesota limited liability company ("Developer") and the City of Long Lake, a <br />Minnesota municipal corporation ("Long Lake"), and the City of Orono, a Minnesota municipal <br />corporation ("Orono"), collectively (the "parties"). <br />RECITALS: <br />A. Developer is the fee owner of that certain real property located in the City of Long <br />Lake, Minnesota, legally described on Exhibit A attached to this Agreement ("Subject <br />Property"); and <br />B. The Subject Property shall be subdivided into four lots, conditioned upon the <br />terms of Long Lake's final plat approval and a separate development agreement between Long <br />Lake and Developer; and <br />C. The Subject Property contains dedicated right of way which is controlled by <br />Orono, identified on the final plat attached to this Agreement as Exhibit B ("Orono Right of <br />Way"); and <br />D. Developer plans to construct a private driveway across the Subject Property and <br />across the Orono Right of Way as delineated in Exhibit C and depicted in Exhibit D <br />("Driveway") and sanitary sewer, water, and drainage facilities and infrastructure ("Developer's <br />Utilities") on the Subject Property and in the Orono Right of Way, in accordance with site plans <br />approved by Long Lake; and <br />E. Developer, Long Lake and Orono want to enter into this Agreement for the <br />purposes of providing Developer access to the Orono Right of Way and describing the <br />Developer's continuing maintenance obligations regarding the Driveway, Developer's Utilities, <br />and the establishment and maintenance of internal sprinkler systems within all homes built on <br />any lots within the Subject Property. <br />
